Provider Agreement

The Provider Agreement is the contract between your organization and General Wisdom that governs how your application is listed, how sessions are sold, and how revenue is shared.

Revenue is calculated based on SMART tokens spent on your application sessions. The platform retains 35% to cover payment processing, infrastructure, marketplace operation, and user acquisition.

Payout Terms

  • Payouts are processed monthly on the 15th for the previous calendar month's earnings.
  • Minimum payout threshold: 100 SMART tokens equivalent (approximately $10 USD).
  • If your balance is below the threshold, it rolls over to the next month.
  • Payouts are sent via Stripe Connect to your configured bank account.

Your Obligations as a Provider

By accepting the agreement, you commit to:

  1. Service Availability — Maintain at least 99% uptime during active sessions. If your application is unavailable during a user's paid session, the user may be refunded and the refund is deducted from your balance.

  2. Data Handling — Process user data only as necessary to deliver the session. Do not store, sell, or share user activity data beyond what is required for your application's functionality.

  3. Security Standards — Implement reasonable security measures including HTTPS, secure token handling, and prompt patching of known vulnerabilities.

  4. Content Compliance — Your application must not facilitate illegal activity, distribute malware, or misrepresent its capabilities.

  5. SDK Integration — Maintain a working integration with the General Wisdom SDK. Sessions must honor pause, resume, and end commands from the platform.

  6. Accurate Listing — Your marketplace listing must accurately represent your application's functionality. Misleading descriptions or screenshots are grounds for suspension.

Platform Obligations

General Wisdom commits to:

  1. Timely Payouts — Process payouts on schedule barring payment processor issues.
  2. Fair Review — Review listing submissions within 3 business days with clear feedback.
  3. Advance Notice — Provide 30 days notice before any changes to revenue share terms.
  4. Dispute Resolution — Investigate user disputes fairly, giving providers opportunity to respond.

Termination

Either party can terminate the agreement:

  • You can delist your application at any time. Active sessions are honored until expiry. Pending payouts are still processed.
  • General Wisdom can suspend or remove a listing for agreement violations after providing notice and opportunity to remedy (except in cases of severe violations like malware distribution).

Intellectual Property

  • You retain all IP rights to your application.
  • You grant General Wisdom a limited license to display your application name, logo, and description in the marketplace.
  • General Wisdom retains all IP rights to the platform, SDK, and marketplace infrastructure.

How to Accept the Agreement

  1. Navigate to /developer/settings/provider-agreement.
  2. Read the full agreement text (the complete legal document is displayed inline).
  3. Check the confirmation box: "I have read and agree to the Provider Agreement on behalf of my organization."
  4. Click Accept Agreement.

Only the Owner of an organization can accept the Provider Agreement. Admins and Developers cannot accept on behalf of the organization.

The agreement acceptance is recorded with:

  • Timestamp
  • Organization ID
  • User ID of the person who accepted
  • Agreement version number

Agreement Versioning

The Provider Agreement may be updated over time. When updates occur:

  1. You receive an email notification 30 days before the new version takes effect.
  2. The new version is available for review at /developer/settings/provider-agreement.
  3. If you take no action, the new version applies automatically after the notice period.
  4. If you disagree with the changes, you can delist your application before the new version takes effect.

Frequently Asked Questions

What happens if my app goes down during a user's session?

If your application is unreachable for more than 5 consecutive minutes during an active session, the user can request a refund for that session. The refund amount is deducted from your next payout.

Can I change my pricing after accepting the agreement?

Yes. Pricing changes are independent of the agreement. See Marketplace Listing for pricing update rules.

What if a user disputes a charge?

General Wisdom investigates disputes. You are notified and given 5 business days to provide evidence (logs, screenshots) that the session was delivered as described. If the dispute is resolved in the user's favor, the session cost is deducted from your balance.

Is there an exclusivity requirement?

No. You can list your application on other platforms simultaneously. The agreement is non-exclusive.
